Ending Corporate Governance Networking List

We appreciate your interest in these pages and have provided this "guestbook" functionality, for anyone who would like to network with others -- especially in your same locale. This is done in the spirit of what Richard Grossman articulated in 1996 when he said,
. . . we've held about 25 to 30 weekend Rethinking the Corporation meetings around the country. In three states, some of the people from those meetings have actually formed an organization and now doing education all around their states, and trying to research the history of their state, constitutions and corporation laws, and precedents; starting to fashion some tactics: what are the issues in this state? what are the points of entry? how do they reframe the problem?
        Out of this meeting -- I think in fact there were 57 people here -- people who have signed the name-and-address sheet -- we'll make that available to everybody so everybody here can contact everybody. Nodes of people who live near each other can start coming together. We'll be able to put you in touch with other people in California. There are some groups of people who have already come forward in some of the places we've been and said, We want to form a committee to research California Corporation Laws -- to look at what else can we find besides the Constitution, where are the precedents? When has a corporation charter really been revoked? What about the state corporation code? What used to be in the old corporation codes? How has it changed?[1]

Although I realise this is a site exclusively for Americans or residents of the US, I also, although neither of the above am interested in the topic. I am a masters student at the University of Botswana and often presents papers on the subject, infact, I am hoping to write a thesis on it. Please make an exception and include in your group.

First, this site was created for everyone to use -- there was never any intention for it to be exclusive to some subset of humankind. And second, there is no specific "group" here -- this Networking List was created for any and every one to use to expand connection with others sharing similar interests of Ending Corporate Governance.

I can hardly think of a worse nightmare than multinational corporations governing the world. There is an ancient Greek school of philosophers which theorized that history repeats itself, but in long cycles. It seems we have come full circle historically, from the age of the dinosaur to the age of the megacorporation ... huge, amoral, omnivorous beasts roaming the earth. Quite some time ago, after the Bushman was elected, I went on a personal buyer's strike, purchasing things only necessary for my physical survival as well as my continuing education -- such as books and magazines; of the latter two, all I basically purchased were classics and anything contemporary which was anti-right wing and / or anti-globalization. I strongly suggest that book lovers out there support writers like Chomsky, historian Howard Zinn and of those not brainwashed by the right wing neo-Nazis who are presently in control of the U.S. government.

As someone bullied out of a job in education, where the "New Managerialism" and a quasi-corporate ethos has increased stress to intolerable levels, and as someone who lives in a country where privatisation has ruined our railway system, our health service and public services generally, and where "democracy" now leaves one with a choice between political parties following virtually identical agendas, where real jobs have evaporated to be replaced by McJobs, I really want to do something positive! Because of Australian interest, the government brings migrant from overseas. At the same time kicks out many people out every day those been here for number of years on refugee application. Many of them were skilled, acclimatized and survive without any help by the government. So they would be much batter productive then a new migrant unknown in this country may end up on doll money. So put pressure on the federal government to allow some educated skilled people to apply for permanent residence in Australia so that they can contribute to the nation immediately.
What can we do about it?

I do agree with your legal actions that we can take now. But I urge everone here to seek a long term solution to corporate power as well. In the corporate welfare section of the Rose I have the proposed text for a constitutional amendment limiting the actions of corpoartions. This amendment and a amendment establishing a progressive wealth tax that would exemptsay the first 500K of assets with the tax rates rising sharply with assets over that figure. Remember only people have rights, paper creations like corporations only have conditional privileges.

I work with the DASN (direct action solidarity network) which is a national (but not nationalistic) group in canada. We believe in the old saying "power concedes nothing without demand". DASN produces the Student Activist Newspaper, as well. To date, there have been 4 issues produced with another coming out in september. We have networked with US groups such as the CCO (centre for campus organizing) and 180 MDE, however we are always looking for any interest in us or help offered. Bio- I am a 24 yr old philosophy student at the University of Montana. I will soon be entering a graduate program in community planning. I am sympathetic to the problems corporations are posing to this country in their current role. I am especially interested in the legal accountability of corporations. As it stands now, only huge civil punitive damages are assesed by courts when moral transgressions take place. This is like using a band-aid on a dam. Judges need to have the power to suspend and revoke corporate charters! I am interested in getting in contact with others with similar sentiments in the Northwest.

Colorado is a great case study for "When corporations rule...". The "little people" are fed sports, shopping, and religion to keep them occupied while the plutocrats slowly "colonize their minds" with "right to work", "work at will", and free enterprise ideology. Democrats are Republicans while Republicans are Democrats, Journalism has exited the state while the two indistinguishable retail rags compete for advertising. Jocks make regular appearences on the front page, almost larger than life. Corporate human resources staff accept invitations into public school classroms to inform students of the kind of skills, behavoir, and appearence desired by those who distribute the jobs. Call it brainless or brainwashing, the end result is a plutocratic and very Fascist culture and state endorsed system. However, since I have an unyielding faith in democracy and humanity, I proceed as though both will prevail. In this regard, my most immediate activest goal is the restoration, through the public initative process, of the revised legislation originally governing corporations, all of which was repealed and replaced. I'm currently researching a good model of corporate legislation.

Corporate governance, the nuts-and-bolts of how a public company fulfills its responsibilities to investors and other stakeholders, is frequently overlooked in debates over corporate social responsibility. Pension funds hold about 26% of all listed corporate stock in the United States; they have assumed the role of "permanent shareholders." The Department of Labor, which governs most pension funds under the Employment Retirement Securities Act (ERISA), has clarified that voting rights are plan assets. It is, therefore, the duty of pension fiduciaries (trustees) to ensure such assets are voted solely in the interest of plan participants and beneficiaries. Unfortunately, DOL has never enforced the law.
          How do we end corporate demockery? What measures can be taken to bring about more genuine democratic corporate governance? Workers need to get control of their pensions and corporate board elections, which are about as democratic as old-style communist regimes, need to become real. A 1991 study found that over 80% of board candidates were filled by CEO recommendations.

Admittedly, I am an anti-capitalist/anarchist, so this may be wishful thinking on my part. My theory is that the infamous Y2K problem will institute a worldwide economic crisis beginning mid-1999. What is our economy but a state of mind? If average consumers wake up next year and realize that the international computer network may result in the loss of all records of their assets, they will likely begin to withdraw their savings, sell their stocks, cash in their bonds, invest in precious metals, etc. As word of this spreads, more and more people will follow suit -- basically beginning a run on the bank. Whether or not Y2K is a catastrophe or just an annoyance is moot. The worldwide economic panic will render the capitalist system null and void. Will this be the beginning of the next dark ages? Maybe this will force people to take control of the economy in their own communities, rather than allow the corporate plutocracy to run the whole show.
Just a thought.

Just saw the a 1997 lecture by Richard Grossman -- and it and the followup info on this website (and others linked to it) provide much needed data backup. I've worked for corporations of many, many different kinds (computer tech) and am seeing that William Gibson's vision in Neuromancer (corporate states) is becoming a reality. For some reason (fear?) many people don't associate downsizing, reduced income, elimination of welfare, globalization with corporate strategies to decrease/eliminate the cost of skilled labor.
I'd like to actively participate in a campaign to restrict the rights of corporations, and am looking for a Phila based organization that is already pursuring those goals.

I have become increasingly interrested in the "corporate structure" as a direct result of the United States Postal Service blasting its' employees with the concept that it is a "corporation" with a "corporate logo" while employee abuse and lack of accountability grows. I am a local union president feeling like the voice in the wilderness. But I am able to hold union meetings and voice my concern over the fact that "corporations" wield far too much power and need to be in check with laws similar to those that hold unions at bay.

This is Will Freedom! here. I do Access TV shows about MJ/Hemp re-legalization, the abuse of Police Power, vegitarianism, our future Libertarian society, and advice on how to stay free from the control of the CORP'SES. Got my first education about how corp'ses can profit from the causing of injury in Austin, Tx from my employer (AMD). I'm now raising hell in the subarban Chiacgo area. My latest theory is that corporations can not be considered "sui juris", as this is a quality of natural persons (things with eyes and a brain, as I like to say). The implication is that Corp'ses, (having no soul, and no honor) have no right to engage in contracts! Think about that one for a while! Of course as you correctly point out, corporations are creations of the State, and thus are bound to abide by the US Constitution, specifically, the 14th Amendment ("artifical persons" have *greater* protection of the law, IMHO).

Thanks to Richard Grossman and Margie Boule for enlightening me to the possibility of humanizing influences over corporations. I am an activist in the health care field (Portland, Oregon region) but I still eat at Taco Bell & I'm alarmed by the easy acceptance of inhumane and irresponsible policies in almost every workplace I've encountered. The people responsible for these policies are almost always people I would invite over to dinner and maybe even call my friend. We seem to have this blindness for things that extend beyond immediate perception. I recommend Robert Grudin's Time and the Art of Living to anyone interested in a challenge to their perceptions.
A few years ago my government co-workers and I identified "the seventh generation" as our top priority for planning. That fell by the wayside when they got laid off, but sure did get me thinking. Whatever it is I'm doing with this life, I don't expect it to end when I'm gone! Thanks for your web site! Perhaps it will help us all refocus on the "big picture".

I am concerned about the consolidation of power by corporations in this country. With NAFTA, GATT and soon the MAI we can look forward to a new feudal and colonial age with corporate entities carving up the world for their utilization. Quebec Protection Asssociation of Savers and Invesstors founded 2 years ago. Yves Michaud, president, made 5 proposals to 3 banks last year and obtainede ruling from Superior Court and Court of Appeal to force banks to include his proposals in the circular to shareholders. Proposals were on cap on CE0 and top ranking salaries of officer, separation of function of Chaurman of the board and CE0, limitation of the mandate of members oh the board to 10 years, etc... On proposal of separation of jobs of Chairman of the board and CE), Mr Michaud hat 27% votes in favor of his poroposals and 10% of abstentions. Other proposals will be put forward in september oc october. Any suggestion or help wull be appréciated.

I've been studying these issues for some time now, but the most insightful descriptions of corporatate rule I've read lately was Charles A. Reich's notion that corporations are private governments (in OPPOSING THE SYSTEM). I've found that particular concept to be very helpful in describing the issues of corporate dominance to people who are ambivalent about "taking away the freedom to incorporate" as it now stands. A concept like that is a powerful attention grabber in a conversation and I'd like to hear more like it.

I'm interested in civil disobedience and yippie-type "street theater." How about establishing a parallel court system which only recognizes flesh & blood "persons"? If you are worried -and you should be!- about corporate dominance in your food supply, look at the Pure Food Campaign site ( http://www.geocities.com/Athens/1527/index.html) and discover how Monsanto (who brought you Agent Orange and bovine growth hormone) is trying foist their genetically engineered soybean onto the world's supply of soybeans and sell a bunch of their herbicide Roundup at the same time. What they don't want you to know is that it's resistant to their herbicide Roundup and so they can spray even more toxins into the soil, onto plants, with impunity. No testing, no labeling, soon you won't even know what you're eating. And if it makes you sick, you'll never know who to blame because Monsanto doesn't want their Roundup Ready soybeans labeled. 60% of processed foods contain soybeans. Monsanto wants to own it all. Unfortunately, there are problems. Europeans don't want the stuff. If Americans knew, they wouldn't want it either. Boycott all genetically engineered foods! please check out the next issue of "the new internationalist" magazine. the theme of the issue will be "decorporatization". it promises to be a treasure. this publication is not easy to obtain (as you will find out when you talk to your favourite distributor). but its worth the extra work of trying to locate. i can think of 2 reasons why its not readily available in usonia: 1. it has no advertising (other that for world wide charities) 2. it doens't take kindly to u.s. internatinal policy.
